- "Services" refers to website design, development, maintenance, and related digital solutions provided by Webicco.
- "Content" includes all text, images, graphics, code, and other materials available on or through the Site.
2. Acceptance of Terms
By accessing or using the Site or requesting Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please discontinue use immediately.
3. Services
We offer custom website development and related digital services tailored for offline stores. Each project proposal (SOW) forms a binding agreement once accepted.
4. Payment and Fees
- Quotation & Deposit: A non‑refundable deposit (30%) is due upon signing the SOW.
- Milestones: Remaining fees invoiced per agreed milestones.
- Late Fees: 1.5% per month on overdue invoices.
- Refunds: At our discretion; deposits are non‑refundable.
5. Client Obligations
- Provide timely content, feedback, and approvals.
- Secure permissions for third‑party materials.
6. Intellectual Property
- Ownership: Upon full payment, you receive license to final deliverables.
- Pre‑existing IP: We retain rights to our tools and methodologies.
- Third‑Party: Subject to their own licenses.
7. Hosting & Maintenance
- Hosting: Client responsibility by default.
- Maintenance: Billed hourly or per agreement.
8. Confidentiality
All non‑public information exchanged is confidential and not disclosed except as required by law.
9. Warranty Disclaimer
All services and content are provided “as is” without warranties.
10. Limitation of Liability
Our total liability is limited to fees paid under the SOW; we are not liable for indirect or consequential damages.
11. Indemnification
You agree to indemnify and hold harmless Webicco and its affiliates from any claims arising from your breach or misuse.
12. Termination
Either party may terminate for material breach with 15 days’ notice; fees for services rendered remain due.
13. Changes to Terms
We may revise these Terms at any time; changes take effect upon posting. Continued use implies acceptance.
14. Governing Law
These Terms are governed by the laws of India, with disputes resolved by arbitration in Varanasi.
